General Terms and Conditions

These General Terms and Conditions (“Terms”) are a legally binding agreement between you (“Client”) and Cosmonyx s.r.o., a private limited liability company organized under the laws of the Slovak Republic, registered in the Commercial Register of the City Court Bratislava III, Insert No. 184069/B, with its registered office at Dunajská 66, Bratislava – mestská časť Staré Mesto 811 08, Slovak Republic, Company ID: 56 693 788 (“Cosmonyx,” “we,” “us,” or “our”).By clicking “I agree with General Terms and Conditions,” you confirm that you have read, understood, and accepted these Terms and agree to be bound by them. If you do not agree to these Terms, do not use our Services or access our platform.We recommend downloading and saving a copy of these Terms for your records, as they may change over time.

ABOUT COSMONYX
Cosmonyx is a registered Virtual Asset Service Provider (VASP) in Slovakia, providing the following services:Virtual Asset exchange servicesVirtual Asset custody servicesVirtual Asset over-the-counter (OTC) trading services

Our operations are governed by Slovak law, including but not limited to Act No. 297/2008 Coll. on protection against legalization of proceeds of criminal activity and financing of terrorism (the “AML Act”).

RISK DISCLOSURE
Virtual Asset values may fluctuate significantly. By using our Services, you acknowledge and agree:You understand the risks associated with Virtual Asset transactions;You accept full responsibility for all such risks;Cosmonyx is not liable for any losses incurred as a result.

DEFINITIONS
Refer to the attached glossary for definitions of terms such as “Account,” “Client,” “Fiat,” “Virtual Asset,” and “Website.”

GENERAL OBLIGATIONS

Client Obligations: Act in good faith and adhere to these Terms;Provide accurate, complete, and up-to-date information;Report suspicious or unauthorized activity immediately;Comply with applicable laws including AML/CTF requirements.

Cosmonyx Obligations: Provide Services in good faith;Fulfil contractual and regulatory obligations.

ELIGIBILITY
You may use our Services if you:Are a natural person aged 18 or older with legal capacity;Are a legal entity established in a jurisdiction where our Services are legally accessible;Pass our KYC/AML checks;Do not use our Services for unlawful activities.

REPRESENTATIONS AND WARRANTIES
You represent and warrant that:You comply with the eligibility criteria;All information provided is accurate and not misleading;You understand and accept the risks of Virtual Asset transactions;Funds and assets used are from legitimate sources;You will notify us of any material changes in your circumstances.

ACCOUNT CREATION AND SECURITY
Account creation requires submission of requested information and verification. You agree to:Maintain the confidentiality of your login credentials;Create a secure password and update it regularly;Avoid unauthorized access and notify us of any security breaches.

ACCOUNT MAINTENANCE
You are solely responsible for actions taken via your Account. We reserve the right to:Monitor transactions;Set transaction limits;Suspend or terminate accounts for breaches of these Terms.

FEES AND EXCHANGE RATES
Our applicable fees and exchange rates are available on our Website and may be updated at our discretion. You authorize us to deduct fees from your Account without additional notice.

AML/CTF COMPLIANCE
Cosmonyx complies with Slovak and EU AML/CTF laws. You agree to:Provide required identification and verification data;Undergo periodic checks;Not obstruct our AML/CTF procedures.

We may:Request source of funds documentation;Report suspicious activities to the Financial Intelligence Unit (FIU);Delay or reject transactions as required.

PROHIBITED USE
You may not use our Services to:Conduct illegal or fraudulent activity;Launder money or finance terrorism;Infringe intellectual property rights;Damage or disrupt systems;Circumvent regulatory controls.

SUPPORTED VIRTUAL ASSETS
Supported assets are listed on our Website. We may add or remove assets at our discretion. We are not liable for attempted transactions involving unsupported assets.

INTELLECTUAL PROPERTY
All intellectual property in our platform is owned by Cosmonyx or licensed third parties. You may not use our IP without authorization.

LIABILITY AND INDEMNITY To the maximum extent permitted by law:
Cosmonyx disclaims all warranties and liabilities;We are not responsible for service interruptions, data loss, or unauthorized access;You indemnify us against third-party claims arising from your use of our Services.

TAXES
You are solely responsible for complying with your tax obligations and must report any income or activity associated with Virtual Assets accordingly.

TERMINATION
We may suspend or terminate your Account for any reason, including breach of these Terms or applicable laws. You may request account closure in writing. Termination does not relieve you of any outstanding obligations.

AMENDMENTS
We may update these Terms at any time. Updates will be published on our Website and take effect within 7 calendar days. Continued use of our Services constitutes acceptance.

These Terms are governed by the laws of the Slovak Republic. Disputes shall be resolved by the courts of the Slovak Republic.

FINAL PROVISIONS
These Terms constitute the entire agreement between the Parties;No third-party rights are created herein;Cosmonyx may assign its rights and obligations without your consent;If any provision is held invalid, the remaining provisions shall remain enforceable.
